Notice of Special Meeting of Shareholders to be held on June 8, 2012

EP GLOBAL COMMUNICATIONS, INC.
285 Ben Franklin Road North
Indiana, PA 15701

NOTICE OF SPECIAL MEETING OF SHAREHOLDERS
TO BE HELD ON JUNE 8, 2012

Notice is hereby given that the Special Meeting of Shareholders of EP Global
Communications, Inc., a Delaware corporation (the “Company”), will be held at 10:00AM on June 8, 2012 at the Hampton Inn, 129 Commerce Court, Johnstown, PA 15904 for the following purposes:

1.  To approve a Proposed Reverse Split of Issued Common Shares by 10:1.  This action is deemed necessary in order to effectuate a financial restructuring in which all of the major outstanding indebtedness of the company will be converted into common equity and the company will continue operations as a new medical device manufacturer and marketer.  All of this is more fully discussed in the detailed proxy statement which follows (See specifically Section 8 under “Proposals for Shareholder Approval”).  Should the shareholders not approve this proposal, it is likely that the company will be forced to seek protection under the federal bankruptcy laws as the company is technically insolvent.

The Board of Directors has fixed the close of business on May 4, 2012 as the record date for determining the shareholders entitled to notice of, and to vote at, the meeting or adjournment thereof.

It is important that all shareholders be represented at the Special Meeting.  We urge you to sign and return the enclosed Proxy as promptly as possible, whether or not you plan to attend the meeting.  The Proxy should be returned in the enclosed postage prepaid envelope.  If you do attend the Special Meeting, you may then withdraw your Proxy.  The Proxy may be revoked at any time prior to its exercise.

By Order of the Board of Directors,

/s/ Joseph M. Valenzano Jr.
